Panoramix Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Panoramix websites, software, hosted services, application programming interfaces, documentation, and Model Context Protocol connector (collectively, the “Services”) provided by Sapphire Software Services, Inc. (“Sapphire,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to accept these Terms for that organization, and “you” includes that organization. If you do not agree, do not use the Services.

Your organization may have a separate license, subscription, data-processing, or other written agreement with Sapphire. That agreement controls if it conflicts with these Terms.

1. Eligibility and accounts

You must be legally able to enter into these Terms and authorized by your organization to use the Services. You are responsible for maintaining accurate account information, protecting your credentials, and all activity performed through your account. Do not share credentials or permit access by anyone who is not authorized. Notify support@panoramixfinancial.com promptly if you suspect unauthorized access.

2. Permitted use

Subject to these Terms and any applicable customer agreement, Sapphire grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your organization’s authorized business purposes. You may access only the accounts, clients, records, and functionality that you are authorized to use.

You are responsible for obtaining all permissions and providing all notices required to place information in Panoramix, direct Sapphire to process it, or disclose it through an integration.

3. Panoramix MCP connector and AI services

The Panoramix MCP connector is an optional integration that allows an authorized user to request Panoramix information and selected Panoramix actions through supported third-party artificial intelligence services.

  • You must be authorized by your organization to connect Panoramix to the selected AI service and to disclose the requested information through that service.
  • Your use of an AI service is governed by that provider’s terms, privacy policy, account settings, and any agreement between the provider and you or your organization.
  • AI-generated responses may be incomplete, inaccurate, or presented without important context. Review the underlying Panoramix data and applicable source records before relying on a response.
  • Review the client, content, privacy setting, priority, dates, and other material details before approving an action that writes information to Panoramix.
  • The connector does not place trades, move money, or change custodian account or beneficiary records.

You may disconnect the connector through the AI service or contact Panoramix Support for assistance revoking the authorization.

4. Professional judgment and source records

Panoramix supports financial professionals but does not replace professional judgment. The Services and their outputs are not legal, tax, investment, accounting, or compliance advice. You are responsible for reviewing results, confirming client identity and applicable dates, and determining whether information is suitable for any communication, recommendation, filing, calculation, or business decision.

Custodian records and other applicable official records remain the source of truth for custodial account information, transactions, assets, and beneficiary designations.

5. Data and privacy

Our Privacy Statement describes how Sapphire collects, uses, shares, retains, and protects information, including information processed through the MCP connector. You remain responsible for the lawfulness, accuracy, quality, and use of information that you or your authorized providers submit to the Services.

If you export or transmit information from Panoramix, you are responsible for its security, access controls, retention, and disposal after it leaves Panoramix.

6. Prohibited conduct

You may not:

  • Access or attempt to access data, accounts, systems, or functionality without authorization.
  • Use the Services to violate law, regulation, professional obligations, privacy rights, intellectual-property rights, or contractual restrictions.
  • Upload malicious code; interfere with the operation or security of the Services; probe for vulnerabilities without written authorization; or bypass access, usage, or security controls.
  • Copy, sell, sublicense, rent, lease, distribute, modify, reverse engineer, or create derivative works from the Services except as expressly permitted by Sapphire or applicable law.
  • Use automated means to place an unreasonable load on the Services or to extract information beyond your authorized business use.
  • Misrepresent the source, accuracy, or completeness of information obtained through the Services.

7. Third-party services

The Services may interoperate with custodians, data providers, AI services, customer relationship management systems, and other third-party products. Sapphire does not control those services and is not responsible for their availability, security, content, or handling of information. Third-party terms may apply, and you are responsible for maintaining any licenses and permissions they require.

8. Ownership and feedback

Sapphire and its licensors retain all right, title, and interest in the Services, documentation, software, designs, trademarks, and related intellectual property. Except for the limited right to use the Services, these Terms do not grant you ownership of Sapphire intellectual property. You retain your rights in information you provide to the Services.

If you provide feedback or suggestions, you permit Sapphire to use them without restriction or compensation, provided that doing so does not identify you or disclose your confidential information without authorization.

9. Availability and changes

We may maintain, update, improve, replace, suspend, or discontinue features of the Services. We will provide notice when required by an applicable customer agreement or law. The availability of integrations may depend on third-party services outside Sapphire’s control.

10. Fees

Fees, payment terms, renewal terms, and taxes are governed by the applicable order, subscription, license, or other customer agreement. Access to some Services or features may require a paid Panoramix account or separately licensed third-party service.

11. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access when reasonably necessary to protect the Services, users, or data; address suspected unauthorized or unlawful activity; respond to nonpayment; comply with law; or enforce these Terms or an applicable customer agreement. Upon termination, your right to use the affected Services ends. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.

12. Disclaimers

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN AN APPLICABLE WRITTEN CUSTOMER AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SAPPHIRE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SAPPHIRE DOES NOT WARRANT THAT THE SERVICES OR THIRD-PARTY INTEGRATIONS WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ALL DATA OR OUTPUTS WILL BE ACCURATE OR COMPLETE.

13. Limitation of liability

The limitations of liability in your applicable written customer agreement govern. If no such agreement applies, then, to the maximum extent permitted by law, Sapphire and its officers, employees, affiliates, licensors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, business opportunities, or data, arising from or related to the Services, even if advised that such damages are possible.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sapphire and its officers, employees, affiliates, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from your unlawful or unauthorized use of the Services, your violation of these Terms, or your infringement of another person’s rights. This section does not apply to the extent a claim results from Sapphire’s own breach of an applicable written agreement.

15. Governing law and venue

Unless an applicable written customer agreement states otherwise, these Terms are governed by Minnesota law, without regard to conflict-of-law principles. Any legal proceeding arising from these Terms or the Services must be brought in the state or federal courts located in Hennepin County, Minnesota, and each party consents to those courts’ jurisdiction.

16. Changes to these Terms

We may update these Terms to reflect changes in the Services, law, or our practices. We will update the “Last updated” date when we do. If a change materially affects your rights, we will provide additional notice when required by law or an applicable customer agreement. Continued use after updated Terms take effect constitutes acceptance of the revised Terms.

17. General terms

If a provision of these Terms is found unenforceable, it will be modified only as necessary to make it enforceable, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without Sapphire’s written consent; Sapphire may assign them in connection with a merger, acquisition, reorganization, or sale of assets. These Terms, together with any applicable written customer agreement and incorporated policies, constitute the agreement governing your use of the Services.
